We are looking to add a Corporate Attorney with 3+ years of experience to our growing team. The candidate will advise both investor- and company-side clients on all aspects of corporate transactions, including venture and seed financings, founder and employee equity issuances, corporate formations, corporate governance, venture debt facilities, fund formation and administration, and daily outside GC management of startup clients. Working within our team of corporate attorneys and paralegals, the candidate will be responsible for managing and drafting documents related to transactional matters, including venture and seed financing documents, corporate governing documents (charters, bylaws, and operating agreements), commercial contracts, board resolutions and consents, employment agreements, and equity incentive plans. The candidate should preferably have one or more of venture-backed startup, venture capital, or mergers and acquisitions experience in a law firm setting.

This position is remote. Candidates with additional experience in complex business litigation, trademarks and branding, or a scientific or technical background are especially encouraged to apply.

Key activities include:

Working collaboratively with our corporate team supporting our company and private-equity clients.

Advising on and managing all stages of new entity formations, including advice on corporate structure, entity incorporation, drafting and adoption of bylaws, indemnification agreements, employee and consultant agreements, stock purchase agreements, share issuance, 83(b) elections, state registration requirements, and cap table management.

Working with our corporate team to assist private equity and fund managers with overall fund formation and administration including overall fund structuring, general partnership and limited partnership agreements, subscription agreements, funding schedules to manage capital calls, maintaining fund formation checklists, and filing Certificates of Formation/Limited Partnership.

Negotiating contract terms, transactions, and settlements on behalf of our startup clients, including employment, consulting, non-disclosure, manufacturing, supply, distribution, joint-development, and other related business agreements involving complex technologies.

 

Must Have Qualifications:

Must have at least 3 years (preferably 5) of experience as a corporate attorney in a law-firm setting.

Must have experience with venture capital and private equity financings.

Must have experience negotiating and drafting commercial agreements for complex technologies such as technology licenses, sponsored research and joint development agreements, joint ventures and strategic partnerships, manufacturing, supply, and distribution agreements.

Must be available on a full-time basis and eligible to work in the US.

Detail-oriented with the ability to prioritize competing deadlines.

Other Preferred Qualifications

Experience with all forms of corporate equity (common, preferred, liquidation preference, seniority, options, warrants, etc.) and debt (secured/unsecured, promissory, convertible, etc.) structures.

Heavy transaction experience, including working with equity and debt financings in excess of $100M.
